The website and all the products and services of The Knowledge Academy Inc without limitation are protected by international copyrights, trademarks and subject to intellectual property rights. Therefore all intellectual property belongs to The Knowledge Academy Inc, its related companies, its affiliates or suppliers. You may not copy, sell, reproduce, distribute, download, modify, display or prepare derivative works based on, repost, transmit or otherwise use any of the intellectual property of this site. The information on this site is provided “as is” and without any warranties. The Knowledge Academy does not accept responsibility of content of any third party sites that maybe referenced by The Knowledge Academy Inc. The following activities are strictly prohibited: use of robots, other automatic device or manual process to monitor or copy the site of any of its content or the replication of this site to any server. Audio or video recording of courses is not permitted.

Prices:

The published prices do not include any travel, accommodation or living expenses which the delegates may incur in attending unless specifically mentioned on the training booking agreement. All pricing quotations are valid only for 7 days from the date they are first sent to the Delegate. In addition, The Knowledge Academy Inc reserves the right to make necessary pricing adjustments due to an error, changing market conditions or supplier demands.

Payments:

The course fees are payable 20 working days before course start date. Any late payments will be subject to a late payment charge at the rate of 5% over the US base rate. Payments can be made by major credit and debit cards including American Express. When more than one course is booked, full payment for all courses is required 20 working days before the commencement of the first course. Where the relevant invoice has not been paid by course start date, we have the right to refuse the delegate(s) entry to the course. In these circumstances, the invoice in question will remain payable in full. We reserve the right to withhold examination results and certificates until all payments have been made. Administration fee for cancellations are payable immediately upon invoice. The Terms of this agreement override over any other terms of business or purchase conditions put forward by the Delegate. Once a payment has been made, may it be a deposit or full payment, over the phone or on the website by the following methods: Debit Card, Credit Card including JCB, Diners and American Express, the delegate agrees to abide to The Knowledge Academy terms and conditions. In addition, if payment has also been received via bank transfer or check the delegate agrees abide by The Knowledge Academy’s terms and conditions.

Purchase Requisition/Purchase Order

If a purchase requisition/purchase order is provided there is no need for any other confirmation. The purchase order constitutes a legal offer to buy products or services. The purchase requisition/purchase order is deemed as a confirmation of an order and is bound by the cancellation and re‐scheduling policy set out in this document.

Cancellation for website orders:

All orders placed through the company’s websites are non-cancellable and non-refundable.

Cancellations non website orders:

Unless written cancellation is received at least 20 working days before the start date of the course, the fees including tax are payable in full and non-refundable. All cancellations are subject to a minimum administration fee of $400. The administration fees are payable immediately upon cancellation. Notification of all cancellations must be made in writing to ‐ The Knowledge Academy Inc. Should a course booking be made less than 20 working days in advance of the start date of the course, the above cancellation terms still apply and fees are payable in full and non-refundable. If the cancellation is more than 20 working days in advance of the course and the delegate has been sent any pre‐course work either physically or electronically, an additional charge of $695 per delegate will be payable upon cancellation.

Once a payment has been made, may it be a deposit or full payment, over the phone by the following methods: Debit Card, Credit Card, American Express, the delegate is agreeing to abide to The Knowledge Academy terms and conditions. In addition, if payment has also been received via bank transfer or cheque the delegate is agreeing to abide to The Knowledge Academy terms and conditions.

Rescheduling courses or exams:

Changes to a course or exam booking more than 20 working days in advance of the course will incur an admin fee of $400 (per change). The administration fees are payable immediately upon rescheduling. Rescheduling courses or exams less than 20 working days of the start of the course is not permitted.

Refunds:

In the case where a refund is made to the Delegate by The Knowledge Academy Inc, the refund may take up to 20 working days to be processed. Refunds will be processed using the same payment method that the original payment was made. All deposits are non‐refundable. Upon payment of your deposit you are contracted to pay the confirmed course fee at the time of booking, and The Knowledge Academy reserves the right to change prices at any time at their discretion. Upon payment of a deposit, the delegate is adhering to The Knowledge Academy terms and conditions. Refunds will be made in USD ($) for the exact amount originally received, less any cancellation or pre course fees that may be payable. The Knowledge Academy Inc will not be liable for any fluctuation in exchange rates or bank charges for overseas refund transactions. Knowledge Passes are valid for up to a maximum of 12 months from the date of the order and are non-transferable and non-refundable.

Deferring of Practitioner Examinations:

Upon commencement of the training course, The Knowledge Academy Inc accepts that occasionally an individual delegate may wish to for personal reasons defer a practitioner examination to a later date. In this case, the delegate will be subject to a rescheduled exam fee of $695 and must reschedule the examination within 20 working days of the original exam date, subject to availability. We do not allow the deferral of foundation examinations. Delegates must inform The Knowledge Academy Inc of the deferral at least 24 hours in advance of the original exam time.

Changes to Courses:

The Knowledge Academy Inc reserves the right to change any part of a published course if this is caused by circumstances beyond our control. The Knowledge Academy Inc reserves the right to cancel or reschedule any course and will advise the customer as soon as the change is known. The Knowledge Academy Inc will use all reasonable efforts to avoid changes of this nature. The contents of course timetables are intended for general guidance only. Any typographical error or omission in any sales literature, administrative documentation, course materials, invoice or other document shall be subject to correction without any liability on the part of The Knowledge Academy Inc. The location and course date of the course will be announced upon booking. The Knowledge Academy Inc reserves the right to change the location and will advise the customer as soon as the change is known. The Knowledge Academy Inc will not be liable for out of pocket expenses due to cancellation or any other changes to venue or program.

Course Materials:

If for any reason (including but not limited to transit delays beyond the control of The Knowledge Academy) courseware does not arrive on time for the course we will commit to replacing it at the earliest opportunity and make best efforts to make temporary materials accessible as required to continue the learning program. Refunds will not be granted for transit related delays beyond the control of The Knowledge Academy.

Non Attendance:

Non‐attendance of any course for any reason whatsoever is deemed to be a cancellation with no notice and payment is due in full.

Course Suitability:

The customer accepts that it is their responsibility that the course booked is suitable for the requirements and abilities of the delegates attending. The Knowledge Academy Inc's employees may recommend courses or learning solutions, however, the assessment and the final decision concerning suitability of the course is the customer's responsibility. In cases where we have made recommendations, we do so in good faith and will not be willfully misleading. All public and onsite training courses are delivered only in English and all delegates must be sufficiently proficient in the English language before attending the course. The Knowledge Academy Inc provides no guarantee or warranty to delegate’s for their eligibility to sit for any examination. It is the delegate’s responsibility to ensure they meet all of the requirements to sit the relevant examination and shall have no recourse over The Knowledge Academy Inc if denied the right to take an examination by the examination institute.

Admission and Provision of Service:

The Knowledge Academy Inc reserves the right to refuse admission or service to any person whom it considers in its absolute discretion to be unsuitable for whatsoever reason. By agreeing to abide by these terms and conditions you agree that you have no relationship whatsoever with any individual or company that competes directly or indirectly with the business of The Knowledge Academy Inc and its relates companies.

Booking on behalf of the Delegate:

In all cases the customer undertakes to bring these terms and conditions to the attention of delegates. It is the customer’s responsibility to ensure that the delegates receive all the relevant information including the joining instructions and that they meet the eligibility and published pre requisite requirements.

Onsite Training on Client Specified Site:

It is the Customer’s responsibility to provide all facilities, equipment and set up required for trainer to deliver the training. The Knowledge Academy Inc reserves the right to cancel or discontinue the course if, in the Trainer's opinion, the venue, equipment or conditions are unsuitable.

Trainer Expenses:

Trainer expenses for private, onsite or closed courses will be charged as agreed at the time of the course booking, as stated on the Training Booking Agreement.

Shipping:

Additional charges will be made for shipping of pre‐course work to locations outside of the US. Please contact your learning advisor for further information.

Copyrights:

All intellectual property rights for all course materials shall remain the property of The Knowledge Academy Inc. The Customer agrees not to reproduce, sell, hire, lend or copy the course materials or use them except for the purpose of personal reference. The Knowledge Academy Inc warrants that it will not knowingly include any copyright material in its course materials without license or consent.

Warranty & Liability:

The Knowledge Academy Inc liability for loss and damage shall be limited to a claim for damages. The maximum aggregate liability will be the charges for the course out of which the loss or damage has arisen. The Knowledge Academy Inc is not liable for death or personal injury. The Knowledge Academy Inc will not be liable for indirect, special or consequential loss (including loss of anticipated profit or data), howsoever arising, even if it has been advised of such potential loss. The Knowledge Academy Inc will not be responsible for any damage resulting from any computer viruses arising from software installed on customer computer systems. By using this site and any of its services you agree to abide each of the terms and conditions listed below. If you do not agree with these terms, please do not use this site or its services.

Personal Belongings:

Personal belonging or items belonging to the delegate on the delegate’s possessions brought onto training courses are the sole responsibility of the Delegate. The Knowledge Academy Inc accepts no responsibility of the items or any loss or damage that may occur during the course. The Knowledge Academy Inc may assign its interests in all or part of this agreement. The Delegate may not assign or transfer this contract without the express written permission of a Director of The Knowledge Academy Inc.

Deviation:

No deviation from these terms and conditions will be allowed without the express written permission of a Director of The Knowledge Academy Inc. No communication either verbal or printed on our websites will override these Terms and Conditions. If in any case any of these conditions shall be held to be invalid or shall not apply, the contract and the other conditions shall remain in force and effect.

Force Majeure:

The Knowledge Academy Inc shall not be in breach of this contract if the provision of services are delayed or cancelled or reduce through any circumstances beyond its reasonable control including acts of God (including but not limited to, fire, flood, earthquake, storm, snow, hurricane or other natural disaster) sickness, war, invasion, act of foreign enemies, hostilities (regardless of whether war is declared), civil war, rebellion, revolution, insurrection, military or usurped power or confiscation, terrorist activities, nationalization, government sanction, blockage, embargo, labor dispute, strike, lockout or interruption or failure of electricity or telephone service. Delegates must ensure that they can attend the training courses which they are scheduled to attend. The Knowledge Academy Inc will not be held liable, financially or actually, for their non‐attendance, whatsoever the reason may be.

Privacy Policy:

The Knowledge Academy Inc is committed to maintaining your privacy and the use of your personal information. If at any stage you have a question regarding the personal information that we hold on file, please do not hesitate to contact us. The Knowledge Academy Inc will not disclose personal information to a third party organization unless we have your prior consent to provide this or you have opted to allow the use of your personal information. If the request for your personal information is for a legal purpose, this we would class as an exception, but only after we have 100% fully verified the name or organization requesting your personal details. This also applies to a third party training partner who is not contractually obliged to use or sell your personal information with any other companies or partners. The Knowledge Academy Inc at no stage will disclose personal credit card account information that is voluntarily provided during a transaction process, may this be by telephone or via our secure web‐portal. The exception to this would be if The Knowledge Academy Inc were to make contact with the credit card company for validation or verification of any transaction process purpose. The Knowledge Academy Inc does not have total control of how your personal information can be used by credit card companies but we would request they inform The Knowledge Academy Inc on how they may use this information. It is our commitment not to collect personal information from customers visiting our web site unless they have voluntarily submitted their personal information via one of our contact forms that requires information which could be based on an enquiry or to book onto a training course. If you start to complete a contact enquiry form and decide not to finish, partial details are stored from which The Knowledge Academy Inc may use this information to make contact with you, only to discuss your initial enquiry which was started but not finished. From time to time, The Knowledge Academy Inc may contact you to inform you about a specific training program that is related to your original enquiry, request or training course. IP addresses may be seen by The Knowledge Academy Inc and on some occasions the providers host name but this information will not disclose your identity. The Knowledge Academy Inc will not take photographs or videos of you during a course and will not use this material for The Knowledge Academy Inc’s own marketing purpose without your prior consent. Delegates are not permitted to take any video/photography during the course without prior written consent of The Knowledge Academy and its clients, failure to do so will be considered a direct breach of our terms of business and this matter would be taken very seriously.

The Knowledge Academy welcomes participation by individuals with disabilities. We are committed to complying with all applicable laws that prohibit discrimination against individuals on the basis of disability in the full and equal enjoyment of its goods, services, programs, activities, facilities, privileges, advantages, or accommodations. To request auxiliary aids or services or if you have any questions regarding accessibility, please contact us. The Contract shall be governed by and construed in accordance with the Laws of the New York State and shall be subject to the exclusive jurisdiction of the courts of New York. Any controversies or claims arising out of, or relating to this Agreement or the making, performance or interpretations thereof, shall be settled by arbitration in Buffalo, New York in accordance with the rules of the American Arbitration Association then existing, and judgment on the arbitration award may be entered in any court having jurisdiction over the subject matter of the controversy.
